LILAMA HELD THE ANNUAL GENERAL SHAREHOLDERS MEETING YEAR 2025 SUCCESSFULLY

On June 27th morning, Lilama Corporation – J.S.C held successfully the Annual General Shareholders Meeting (AGSM) for year 2025 in the head office in Hanoi.

Guests attending the LILAMA’s AGSM were representatives from the Ministry of Construction (MOC) including Mr. Vu Ngoc Anh – Director General of Business Management Department, Mr. Nguyen Phuc Huong – Director General of Finance and Planning Department, Mr. Do Duy Hien – Deputy Director General of Personnel and Organization Department; and LILAMA Management Board including Mr. Bui Duc Kien – Chairman of Board of Management (BOM), Mr. Nguyen Van Hung – President & CEO and member of BOM, Mr. Nguyen Manh Dung – Vice President and member of BOM, Mr. Tran Vu Vuong – member of BOM, other members from Board of Supervisors, Board of Directors, and all shareholders.

In the meeting, LILAMA’s shareholders listened to the BOM’s Report of Company Performance year 2024 and orientation in the Business Plan for year 2025; CEO’s Report of the Company Performance year 2024 and the Business Plan for year 2025; the Supervisory Board’s Report of the Company Performance year 2024 and the Operation Plan for year 2025 as well as other important documents.

Despite many difficulties and challenges faced in 2024, LILAMA’s Board of Management in coordination with the Board of Directors together made great efforts with determination to lead the company operation proactively and flexibly as well as manage business efficiently through fulfilling the plans and missions assigned. As the result, LILAMA has overcome difficulties and adapted the current social and economic circumstance to keep on sustainable development, create more jobs and job benefits for employees, while fully performed responsibilities and obligations to the State budget.

More particular, business performance results for year 2024 LILAMA gained as follow: the income of year 2024 was 6,225.4 billion VND equivalent to 127.6% in comparison to that of the year plan, submitted to the State budget with 106.6 billion VND equivalent to 266.5% in comparison to that of the year plan; dividend payout ratio expected to be at 3.5% per year. In 2024, upon the basis of cautious investment and unnecessary expenditures deescalation, LILAMA made no capital construction investment. In service for manufacturing and building works in projects implementation, LILAMA realized investment in equipment and vehicles procurement valued 1.1 billion VND for securing the ability of deployment satisfying if required

The total value of external capital invested by LILAMA was 569.7 billion VND at the time of December 31st 2024 that did not go beyond the Charter Capital and the Equity, in which 49.5 billion VND, 271.2 billion VND and 248.9 billion VND was invested in 05 subcompanies, 10 affiliate companies and 07 ones of other kinds, respectively.

According to the Restructure Project for LILAMA Corporation JSC in the period of 2021-2025 approved by the Ministry of Construction, the business shall remain the ownership ratio of 36% the Charter Capital invested in 02 affiliate companies (including LILAMA 10 and LILAMA 18), while devested all mentioned above. To LILAMA SEA in particular, a decision for suitable option of which form of business operation works most effectively, or realizing capital transferring/ dissolution for capital recovery would be made up depending on the real situation of employment in Brunei and the region in the coming time.

Besides, to realize the Restructuring Project in the period 2021-2025, LILAMA has been carrying out procedures conforming to the State regulations to devest in some companies such as Hua Na Hydropower JS Company, LHT Engineering JSC, Erection-Electromechanics Testing JSC…

Also in the Restructuring Project, to the remaining companies need devesting, LILAMA has been seeking potential investors who would be interested in as well as consider the right time to build the roadmap for each one.

Referring the Business Plan for year 2025, some targets shall be set forth as follow: total income estimated to gain at 5,965.5 billion, equivalent to 95.8% the year plan, submitting to the State budget with 100 billion VND, equivalent to 93.8% the year plan, the dividend ratio at 7.0%.

In 2025, it is expected that LILAMA would invest constructing equipment and vehicles in service for in-built projects with estimated value of approximately 50 billion VND. Besides, LILAMA carries on the equity devesting mission in those companies according to the LILAMA’s Restructuring Project period 2021-2025.

Particularly, within the framework of the LILAMA’s AGSM 2025, there were two important issues presented: Approval on the dismissal of member of BOM term 2021-2026 to Mr. Le Van Tuan and additional election for 01 new member of BOM term 2021-2026. Mr. Le Dinh Khanh – Chairman of LILAMA Trade Union and Head of Internal Audit Dept. was elected to the Board of Management term 2021-2026 with 78,331,954 votes, accounting 100% the total voted shares of registered shareholders in the 2025 AGSM meeting.

After a positive and efficient working process with high responsibility, LILAMA’s shareholders agreed for all contents stated in the reports and documents presented with 100% votes for approval.

The Annual General Shareholders Meeting year 2025 was successful and closed at 11h10 of the same day.
